Agreement

By creating an account or using sanctor, you agree to these terms. If you do not agree, do not use the service.

The service is a product of Sept & Stone, Inc., a corporation registered in the State of Wyoming, United States.

What sanctor provides

The platform helps you organise, classify, and manage your governing documents and the authority they define. The platform includes a provision builder, governance graph, authority engine, document assembly, people and role management, and optional extensions.

What sanctor does not provide

The platform is not a law firm, accounting firm, or advisory service. The platform does not provide legal, financial, tax, or regulatory advice. The AI classification of provisions is a tool to assist your own understanding of your governance documents. It is not a legal interpretation or opinion.

You are responsible for the accuracy of the documents, provisions, and information you enter into the platform. You are responsible for ensuring your governance framework complies with applicable laws and regulations.

Accounts

You must provide accurate information when creating an account. You are responsible for maintaining the security of your account credentials. You must notify us immediately if you believe your account has been compromised.

You may invite other people to your workspace. You are responsible for managing their access levels and ensuring they use the platform appropriately.

Subscriptions and billing

The service offers a 14-day free trial with full access. No credit card is required to start the trial.

After the trial, continued use of sanctor requires a paid subscription. Subscriptions are billed monthly through Stripe. Prices are listed on our website and may be updated with 30 days notice.

You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. No refunds are provided for partial months.

Your data

You own your data. We do not claim any ownership, license, or rights over the provisions, documents, classifications, people records, resolutions, or any other governance content you create or upload.

Your governance data is stored locally on your device. We do not have access to your governance data and cannot retrieve, modify, or delete it on your behalf.

You are responsible for backing up your data. While the platform provides an export function, sanctor is not liable for data loss resulting from device failure, browser data clearing, or any other event affecting your local storage.

AI classification

The provision builder uses Anthropic's Claude API to classify governance provisions. This requires you to provide your own Claude API key. API calls are made directly from your browser to Anthropic's servers.

We do not guarantee the accuracy of AI classifications. You are responsible for reviewing and confirming all classifications before they are applied to your governance framework. The review step exists for this purpose.

Your use of the Claude API is subject to Anthropic's terms of service and usage policies.

Extensions

Optional extensions provide additional functionality on top of the core sanctor engine. Extensions are available based on your subscription plan.

Extensions that integrate with third-party services (Stripe Connect for payments, regulated wallet providers for digital treasury) are subject to the terms and policies of those third-party providers. We facilitate the connection but are not responsible for the third-party service.

Acceptable use

You may not use sanctor to store or process content that is illegal, fraudulent, or harmful. You may not attempt to access other users' data, interfere with the platform's operation, or reverse-engineer the software. You may not resell access to sanctor without written permission.

Availability

We aim to keep sanctor available and reliable, but we do not guarantee uninterrupted access. The platform may be temporarily unavailable for maintenance, updates, or circumstances beyond our control. Since your governance data is stored locally, it remains accessible on your device even if our authentication or billing services are temporarily unavailable.

Limitation of liability

To the maximum extent permitted by law, Sept & Stone, Inc. is not liable for any indirect, incidental, consequential, or special damages arising from your use of sanctor. Our total liability for any claim related to the service is limited to the amount you have paid for the service in the 12 months preceding the claim.

The platform is a tool to help you manage you business affairs. It does not replace professional legal, financial, or regulatory advice. Decisions made using the platform are your responsibility.

Termination

We may suspend or terminate your access to sanctor if you violate these terms, fail to pay for your subscription, or if we are required to do so by law. We will provide reasonable notice when possible.

You may terminate your account at any time by contacting support@sanctor.io.

Changes to these terms

We may update these terms to reflect changes in the platform or applicable law. If we make material changes, we will notify you by email or through the application at least 30 days before the changes take effect.

Governing law

These terms are governed by the laws of the State of Wyoming, United States, without regard to conflict of law principles.
